Terms of Use

1. Who we are and what these Terms cover

These Terms of Use ("Terms") are an agreement between you and Ragu and Lika IP Private Limited, a company incorporated in India with its registered office at Y 2 E 120/2, Trivenipuram, Jhunsi, Prayagraj, Uttar Pradesh 211019, India ("Ragulika IP", "we", "us"). They apply to the website and platform at ipvaluation.ragulikaip.com and everything on it: the free calculator, the client portal, preliminary valuation reports, AI invention summaries and the IP marketplace (together, the "Services").

Some Services have additional terms that also apply: the Preliminary Valuation Terms for valuation orders and the Marketplace Terms for listings, NDAs and negotiations. Our Privacy Policy explains how we handle personal data. If these Terms and the additional terms conflict, the additional terms win for that Service.

By creating an account, or by using the Services, you accept these Terms. If you do not accept them, please do not use the Services.

2. Who may use the Services

• You must be at least 18 years old and able to enter into a binding contract under Indian law. The Services are not meant for children, and we do not knowingly collect children's personal data.
• If you use the Services for a company, firm, university or other organisation, you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation.
• You must not use the Services if you are barred from doing so under the laws of India or of the country you are in, or if we have previously suspended your account.

3. The Services are free during our launch

All Services are currently provided free of charge: valuation orders, preliminary reports, expert verification of summaries, AI summaries (within the monthly allowance shown in your portal) and the marketplace. We collect no payment and hold no payment details.

We may introduce fees in future. If we do, we will publish the prices and give registered users at least 30 days' notice by email. Fees will apply only to orders or listings you place after that date and after you have seen and accepted the price. Nothing you started while the Services were free will be charged retrospectively.

4. Your account

• Give accurate, current information and keep it up to date. Your name is fixed once your identity is verified, because it appears on NDAs and term sheets; ask us if it needs correcting.
• Keep your sign-in details secure and do not share your account. Staff accounts must use two-factor authentication; we recommend it for everyone.
• You are responsible for what happens under your account. Tell us at once at contact@ragulikaip.com if you think it has been misused.
• We may ask you to complete identity verification (KYC) before you order a valuation, list IP or open a marketplace data room.

5. What you may not do

You must not: - upload anything unlawful, defamatory, obscene, or that infringes anyone's intellectual property, privacy or confidentiality; - claim to own or control IP that you do not, or hide disputes, licences, encumbrances or legal-status problems; - impersonate anyone, or create accounts with false identities; - try to get around security, rate limits, access controls, watermarks or NDAs, or access data that is not yours; - scrape, copy or harvest the Services or other users' information, or use automated means to access them except through features we provide; - upload malware, or interfere with or overload the Services; - use the Services for money laundering, sanctions evasion or any other unlawful purpose; - use anything you receive through the Services (including data-room documents) outside the purpose and NDA under which you received it.

We may remove content, refuse or withdraw a listing, and suspend or close accounts that break these rules, in line with clause 12.

6. Preliminary reports, calculators and AI output

• Preliminary only. Our valuation reports are preliminary valuations for decision support. They are not certified or statutory valuations, are not signed by a registered valuer, and must not be presented as such. Where the law, an auditor, a court or a regulator needs a certified valuation, have the report reviewed and adopted by an independent registered valuer you engage. • Calculator. The free calculator gives a non-binding indicative range from a simplified model. It is not a valuation and must not be relied on.
• AI summaries. Invention summaries are drafted with AI (or automatically, without AI, for unpublished inventions) and may contain errors. You must check every summary and approve it before you use or share it. They are not legal opinions on claim scope, validity, infringement or freedom to operate.
• None of the Services is legal, tax, accounting or investment advice.

7. Your content

You keep ownership of everything you upload (documents, data, listings, messages). You give us a non-exclusive, royalty-free licence to host, copy, process, display and transmit it only as needed to provide the Services to you and to the people you choose to share it with, to keep records the law requires, and to protect the Services. This licence ends when your content is deleted under our retention schedule, except for records we must keep. We never sell your content and never use it to train AI models.

You confirm that you have the right to upload your content and that doing so does not breach anyone's rights or any confidentiality duty.

8. Our intellectual property

The Services, including their software, design, text, methods, report formats and the Ragulika IP name and logo, belong to us or our licensors. You may use them only to use the Services. Reports and summaries we deliver to you may be used for your own purposes as set out in the relevant additional terms.

9. Third-party services

Some features rely on other providers: Google (sign-in), Anthropic (AI summaries), Voyage AI (meaning-based search), Cloudflare (network security) and our hosting and email providers. Their availability is outside our control, and links to other websites are provided for convenience only.

10. Availability and changes

We aim to keep the Services available and secure, but we do not promise they will be uninterrupted or error-free. We may change, pause or stop any Service. For example, an administrator may temporarily pause new sign-ups, orders, summaries or marketplace activity; work already in progress continues. If we stop a Service permanently, we will give reasonable notice and let you download your data first.

11. Liability

• Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.
• Subject to that, we are not liable for: decisions you or anyone else make based on a preliminary report, calculator result, AI summary or listing; loss of profit, revenue, business, goodwill or opportunity; or any indirect or consequential loss.
• Subject to the above, our total liability to you for all claims arising from the Services in any 12-month period is limited to ₹10,000 while the Services are free, or, once fees apply, the greater of ₹10,000 and the fees you paid us for the Service concerned in that period.

12. Suspension and closing your account

You may close your account at any time from Account → Privacy & my data (erasure request) or by writing to us. We may suspend or close an account, or remove content, if you materially breach these Terms, if the law requires us to, or to protect other users or the Services. Except where urgent or prohibited by law, we will tell you why and give you a chance to respond. Clauses that by their nature should survive (including 7, 8, 11, 13 and 15) survive closure.

13. Indemnity

If you breach these Terms or infringe someone else's rights through the Services, you will compensate us for the reasonable losses and costs (including legal fees) we incur as a result.

14. Electronic records and communications

These Terms, NDAs and other documents you accept on the platform are electronic records under the Information Technology Act, 2000. You agree to receive notices and service emails electronically. Marketing emails are sent only with your consent, and you can stop them at any time.

15. Governing law, disputes and grievances

These Terms are governed by the laws of India. Before going to court, please write to us so we can try to resolve the issue. The courts at Prayagraj, Uttar Pradesh have exclusive jurisdiction, without affecting any right you have as a consumer to approach a consumer commission.

16. Changes to these Terms

We may update these Terms. For material changes we will give registered users at least 15 days' notice by email or in the portal. The date at the top shows when they last changed. If you keep using the Services after a change takes effect, the updated Terms apply.

17. General

If any part of these Terms is found unenforceable, the rest remains in force. Our not enforcing a right is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor of our business, on notice to you.
